Position Description for the Director-At-Large
Role Statement for Director-At-Large, OGS Board of Directors
Each Director-At-Large works collaboratively with all members of the Board to achieve the strategic and operational objectives of the Society and the Board. Each Director-At-Large will have a broad understanding of and commitment to the Mission, Vision and Objectives of The Ontario Genealogical Society.
Term
- Two-year term, with possibility of a second term
- Elected by Members at the AGM in even numbered years
Key Responsibilities
ย ย ย ย ย Board Conduct
- Each Director-At-Large will engage in the work of the Board with a high standard of Board conduct compliant with the policies and the By-Laws of the Society and in accordance with the agreed Board Norms of Behavior
- The Director-At-Large has three formal responsibilities:
- Duty of Confidentiality
- Duty of Loyalty (to declare any relationships or situations that represent a conflict of interest)
- Duty of Care (to act in the best interests of the OGS)
ย ย ย ย ย Committee/Team Leadership
- Each Director-At-Large will serve on one or more committees and/or teams of the Society
- Each Director-At-Large will take lead responsibility for and actively contribute to one or more portfolios of Board Work
- Each Director-At-Large will develop a personal annual mandate for their contribution to the Society
ย ย ย ย ย Organizational Sustainability
- Each Director-At-Large will be an ambassador for and actively help the Society to secure adequate resources to support and sustain the organization by encouraging their network to join, donate, volunteer and participate in the activities of the Society
ย ย ย ย ย Reporting
- Each Director-At-Large will regularly report on their Board work/portfolios and committees/teams.
ย ย ย ย ย Meetings
- Each Director-At-Large will prepare for and actively contribute to meetings, sharing knowledge, providing opinions and offering advice
ย ย ย ย ย ย Branch/Special Interest Group Engagement
- Each Director-At-Large will have an active relationship with one or more Branches or Special Interest Groups of the Society
Qualifications
- Prior experience working as a member of a Board of Directors is considered an asset
- Experience working collaboratively in a team
- Expertise in the areas for which the Board is specifically recruiting that year, which will be outlined in the annual Call for Candidates. Skill and experience areas may include Financial Management, Accounting, Information Technology, Membership Development (growth & engagement), Fundraising & Giving, Communications (web/social media/newsletters) & Marketing, Governance, Legal Experience, Human Resources, Volunteer Management, Educational Planning, Project Management, and Strategic Planning.

Requirements
- Must be a member of the OGS by the time of the elections at the Annual General Meeting
- Must complete the OGS Confidentiality Agreement; Code of Conduct; and Conflict of Interest Policy and Acknowledgement documents.

Time Commitment
- Estimated 3-5 hours per week for a two-year term. Possibility of a second term.
Positions
- The Board has room for 5-6 Directors-At-Large, half of whom should be elected in even-numbered years and half in odd-numbered years
